Vendor Terms and Conditions for Softmint Digital Services Pvt Ltd
1. Introduction
Welcome to Softmint Digital Services Pvt Ltd. These Vendor Terms and Conditions ("Terms") govern the relationship between Softmint Digital Services Pvt Ltd ("Company") and its vendors ("Vendor"). By providing products or services to us, you agree to be bound by these Terms.
2. Scope of Work
The Vendor agrees to provide products or services as detailed in the purchase order or service agreement issued by the Company.
Any deviations from the agreed scope of work must be approved in writing by the Company.
3. Vendor Obligations
The Vendor agrees to:
Deliver products or perform services in accordance with the specifications, quality standards, and timelines specified by the Company.
Comply with all applicable laws, regulations, and industry standards.
Maintain appropriate insurance coverage for its operations and provide proof of such insurance upon request.
4. Payment Terms
Payments will be made as per the terms outlined in the purchase order or service agreement.
Invoices must be submitted in a timely manner and should include all necessary details as specified by the Company.
Late payments may be subject to interest charges as outlined in the service agreement.
5. Confidentiality
The Vendor agrees to keep all Company information confidential and to use such information only for the purpose of fulfilling its obligations under these Terms.
This obligation of confidentiality will continue even after the termination of the relationship between the Company and the Vendor.
6. Intellectual Property
Any intellectual property created by the Vendor in the course of providing products or services to the Company will be owned by the Company, unless otherwise agreed in writing.
The Vendor grants the Company a perpetual, royalty-free, worldwide license to use any intellectual property rights associated with the products or services provided.
7. Compliance and Quality
The Vendor agrees to comply with all applicable laws and regulations related to the provision of products or services.
The Company reserves the right to inspect and test the products or services to ensure compliance with agreed specifications and quality standards.
8. Termination
The Company may terminate the relationship with the Vendor at any time with written notice if the Vendor fails to meet its obligations or breaches these Terms.
The Vendor may terminate the relationship with the Company by providing written notice in accordance with the terms specified in the service agreement.
9. Limitation of Liability
The Company’s liability for any damages arising out of the Vendor’s performance under these Terms is limited to the amount paid for the products or services.
The Company is not liable for any indirect, incidental, or consequential damages.
10. Indemnification
The Vendor agrees to indemnify and hold harmless the Company from any claims, damages, liabilities, or expenses arising out of the Vendor’s breach of these Terms or its negligence.
11. Changes to Terms
The Company reserves the right to update or modify these Terms at any time. Changes will be communicated to the Vendor and will be effective immediately upon notification.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of Bhagalpur.
Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in Bhagalpur
